Important: OvenStage connects buyers and sellers only. We do not monitor purchases, meetups, food safety, or what happens after you buy or sell. You are fully responsible for your transactions and for following all applicable local laws.
These Terms and Conditions ("Terms") govern your access to and use of the OvenStage website, mobile application, and related services (collectively, the "Service") operated by OvenStage ("we," "us," or "our").
By creating an account, browsing, listing food, purchasing, selling, messaging, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and able to form a binding contract to use the Service.
OvenStage is a technology platform that helps people discover food listings, connect with other users, schedule orders, and optionally pay through third-party payment tools. We are a neutral venue only.
We are not a restaurant, caterer, food manufacturer, delivery company, broker, agent, insurer, or guarantor of any transaction. We do not prepare, store, inspect, certify, package, transport, or deliver food. We do not employ sellers or buyers.
All food offered through the Service is listed, priced, prepared, and provided solely by independent users (Sellers). All purchases are made directly between users. The Service does not monitor, supervise, or control what is bought or sold.
YOU USE THE SERVICE AND ALL TRANSACTIONS AT YOUR OWN RISK. You are solely responsible for evaluating any listing, seller, buyer, meetup location, payment method, and the safety, quality, legality, and suitability of any food or service.
You acknowledge that meeting strangers in person, exchanging food, and making payments — whether in person or online — involve inherent risks, including illness, allergic reaction, injury, property damage, fraud, theft, harassment, and other harm.
You voluntarily assume all risks arising from your use of the Service and from any interaction or transaction with other users, whether online or offline.
When you buy or sell through the Service, you enter a direct arrangement with another user. We are not a party to that arrangement and we do not guarantee that any user will complete a transaction, that food will meet your expectations, or that any payment will be successful or refunded.
We do not monitor orders, meetups, food handling, hygiene, ingredient disclosures, delivery, or post-purchase conduct. We are not responsible for anything that happens before, during, or after a purchase, including no-shows, disputes, refunds, chargebacks, property damage, personal injury, foodborne illness, or criminal acts.
Pay at meetup: If you choose to pay in person, payment and fulfillment occur entirely outside our control. We do not verify cash payments, receipts, or handoffs.
Pay now (Stripe): If you choose card payment, payment processing is provided by Stripe, Inc. and its affiliates. We do not control Stripe's decisions, holds, disputes, or payouts. Card payments do not make us responsible for the underlying food or meetup.
YOU ARE FULLY AND SOLELY RESPONSIBLE FOR COMPLYING WITH ALL LOCAL, STATE, PROVINCIAL, NATIONAL, AND OTHER LAWS THAT APPLY TO YOU, including health codes, cottage-food laws, business licensing, sales tax, income tax, labeling, allergen disclosure, zoning, insurance, and food safety regulations.
Sellers represent that they have any permits, licenses, and approvals required to offer food in their jurisdiction. Buyers represent that they may lawfully purchase and consume the food they order.
We do not provide legal, tax, food safety, or business advice. If you are unsure whether you may buy or sell food in your area, consult qualified professionals before using the Service.
Food sold through the Service is not inspected, approved, or endorsed by us. We make no representation about freshness, ingredients, allergens, cross-contamination, storage conditions, or fitness for consumption.
If you have allergies, dietary restrictions, or medical conditions, you must confirm all ingredients and preparation details directly with the seller before purchasing or consuming any food.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU RELEASE, DISCHARGE, AND HOLD HARMLESS OVENSTAGE, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR RELATED TO:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that listings or user content are accurate, lawful, or safe.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL OVENSTAGE OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE OR ANY TRANSACTION WITH ANOTHER USER.
Our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) one hundred U.S. dollars (US $100) or (b) the amount of platform fees we received from you in the twelve (12) months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.
You agree to defend, indemnify, and hold harmless OvenStage and its owners, officers, directors, employees, contractors, affiliates, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
You are responsible for all content you post, including photos, descriptions, prices, and messages. You grant us a non-exclusive, worldwide, royalty-free license to host, display, and distribute your content solely to operate the Service.
You may not use the Service for unlawful, fraudulent, harassing, or dangerous activity. We may remove content or suspend accounts at our discretion, but we have no obligation to monitor the Service.
Optional card payments may be processed by Stripe under Stripe's terms. We may charge platform or convenience fees disclosed at checkout. Deposits or refunds between users are governed by your agreement with the other user unless otherwise required by law.
You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms.
Disputes between buyers and sellers must be resolved directly between those users. We are not obligated to mediate, investigate, or resolve user disputes, except where we choose to do so in our sole discretion.
We may update these Terms from time to time. The Last updated date at the top will change when we do. Continued use after changes become effective constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles, except where mandatory local consumer laws apply.
You agree that any legal action relating to these Terms or the Service will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction, unless applicable law requires otherwise.
